Vending Business in Ukraine: Legal Aspects You Need to Know

Step 1: Register as a Private Entrepreneur

Most Ukrainian vending operators run as a FOP (Ρ„Ρ–Π·ΠΈΡ‡Π½Π° особа-ΠΏΡ–Π΄ΠΏΡ€ΠΈΡ”ΠΌΠ΅Ρ†ΡŒ). A limited company makes sense once you have investors, payroll employees or corporate clients. For a route of five to fifty machines, the FOP structure is faster and cheaper to maintain.

Three ways to register:

  • Online via Diia: the fastest route. The form takes roughly 15 minutes, the service is free, and FOP status usually appears within 24 hours. You need a qualified electronic signature or Diia.Signature. Start at the Diia registration service.
  • At a TsNAP (administrative service centre): also free, and you get a person to check your entries before submission.
  • Through a notary or lawyer: paid, but useful for non-standard cases. One example is registration at a place of actual residence for an internally displaced person.

Choose your tax system in the same application. Missing the single tax application puts you on the general system by default. For a vending route that means personal income tax at 18% plus the military levy, instead of a fixed monthly figure.

Step 2: Pick the Right KVED Codes

The core code for vending is 47.99, “Other retail sale not in stores, stalls or markets”, which explicitly covers sales through vending machines. It works for snacks, packaged drinks, bottled water and general merchandise.

A machine that brews a drink sits closer to food service than one dispensing a sealed bottle. Operators running coffee machines commonly register 56.30 “Beverage serving activities” alongside 47.99. If the route also sells pastries or ready-made food, 56.10 covers that. Registering extra codes costs nothing. Since a single tax payer’s income has to match a registered code, it pays to be generous at the registration stage.

One change worth planning for: the Ukrainian classifier Π”Πš 009:2010 is being replaced by NACE 2.1-UA, approved by State Statistics Service order No. 191 of 28 October 2025. It comes into force on 1 January 2027, 2026 is the preparation year, and from 2028 only the new codes apply. There is no automatic conversion. Every FOP and company will have to file an application with the state registrar or through Diia to update its codes.

Step 3: Choose a Single Tax Group That Fits Vending

Group 1 is a poor fit for vending, because it is limited to retail from trading places on markets and household services to the public. Groups 2 and 3 are the realistic options, and the split usually comes down to who pays you.

Local councils can set single tax rates below the statutory ceiling, so check the rate for your registration address before assuming UAH 1,729.40.

The buyer restriction on Group 2 catches people out. A standard consumer route is fine, because customers are individuals. A corporate placement where the client pays for employee coffee is a B2B service. If that client sits on the general system, Group 2 does not cover it. Step 4: Fiscalise Every Machine

Law No. 265/95-VR classifies vending machines as electronic cash registers in their own right. A machine that sells goods without a person controlling payment falls squarely inside that definition. Fiscalisation is therefore mandatory, whatever the payment method. Cash, cards, tokens and QR payments are all settlement operations.

Registration runs in this order:

  1. Confirm the machine is in the State Register of RROs, either as a trading automat or with a built-in electronic cash register. Check that its service life has not expired.
  2. Sign a service contract with an accredited service centre (TSO) for maintenance and repair.
  3. File form No. 20-OPP for the site where the machine will operate, within 10 working days of opening it. This is the step most first-time operators miss.
  4. Register the RRO or PRRO with the State Tax Service before the first sale.

Every customer has to be able to get a fiscal receipt. Machines without a printer satisfy this by showing a QR code on the display or sending an electronic receipt, both of which are recognised formats. Aggregating a day of sales into one receipt does not comply.

Connectivity is the practical constraint. A PRRO deployed on the machine can work offline against a pool of reserved receipt numbers, then sync with the tax service once the connection returns. That matters for machines in basements, transport hubs and areas with unstable power.

Step 5: Get Placement Approved

Where the machine stands decides how much paperwork you sign.

Inside private premises

A machine in a shop, gym, office lobby or shopping centre needs the property owner’s consent and a written placement or lease agreement. Keep the following in the contract:

  • Term and rent: fixed monthly amount, revenue share, or a combination.
  • Access rights: when your technician can service and restock the machine.
  • Electricity and water: who pays, and how consumption is measured.

On municipal land

A machine on a street, square or other public land counts as a mobile temporary structure. The governing document is the Procedure for Placing Temporary Structures, approved by Ministry of Regional Development Order No. 244 of 21 October 2011. The definition of a mobile temporary structure names a trading automat directly.

That means a siting passport (паспорт ΠΏΡ€ΠΈΠ²’язки) from the local urban planning authority. It is drawn on a 1:500 topographic base and registered in the urban planning cadastre. Some cities run their own regime on top of this. Kyiv, for example, treats a goods or services vending machine as a separate category with its own siting procedure.

Two points that decide the timeline:

  • Fees and processing times are set locally, so a passport that takes three weeks in one city can take three months in another.
  • Operating outside the terms of the passport is grounds for annulment, which local improvement inspectorates do enforce.

Step 6: Register as a Food Market Operator

The sanitary and epidemiological station referenced in older vending guides no longer exists. Food safety oversight sits with Derzhprodspozhyvsluzhba, the State Service for Food Safety and Consumer Protection, and the framework is Law No. 771/97-VR.

If your machines dispense food or drink, you are a food market operator and the machine site is a “capacity” that has to be registered:

  • Cost: free.
  • When to apply: at least 10 calendar days before the site starts operating.
  • Decision period: 15 working days. Tacit consent applies, so if no refusal arrives in that window you may start operating.
  • How: application to the territorial body of Derzhprodspozhyvsluzhba, on paper or electronically. Details are on the state registration of capacity service page.

Under Article 65 of Law No. 2042-VIII, trading food from an unregistered capacity carries a fine of 11 minimum wages for a private entrepreneur and 20 for a legal entity. At 2026 rates that is UAH 95,117 and UAH 172,940.

HACCP procedures

Article 20 of Law No. 771/97-VR and Ministry of Agrarian Policy Order No. 590 of 1 October 2012 require food market operators to develop and apply permanent procedures based on HACCP principles. A vending route needs a documented set covering:

  • Supplier approval and incoming goods checks.
  • Temperature control for chilled and frozen machines, with logged readings.
  • Cleaning and sanitising schedules for brewing units, hoppers and contact surfaces.
  • Expiry date management and stock rotation on each visit.
  • Pest control and hygiene rules for service staff.
  • Traceability, so a batch can be traced back to a supplier and pulled from every machine.

Consumer information

Law No. 2639-VIII sets out mandatory information for consumers about food products, including allergen information and the alignment of in-store and remote sales rules. Misleading consumers about allergens carries a fine of 20 minimum wages for a private entrepreneur and 30 for a legal entity. In practice, machines selling packaged goods rely on the manufacturer’s label, while machines preparing drinks need ingredient and allergen information visible on the machine.

Step 7: Declarations of Conformity for the Machine

Ukraine’s state certification system stopped operating on 1 January 2018. Under the Law on Technical Regulations and Conformity Assessment, equipment placed on the Ukrainian market has to meet the relevant technical regulations. Compliance is confirmed by a declaration of conformity supported by test reports.

The declaration is the manufacturer’s or importer’s responsibility, so ask for it as part of the purchase and keep it with the machine file. What You Cannot Sell Through a Machine

Article 71 of Law No. 3817-IX prohibits selling beer (other than non-alcoholic), alcoholic and low-alcohol drinks, tobacco products, e-cigarettes, e-liquids and heated tobacco devices through vending machines. No licence lifts this restriction.

Breaching the rule is an administrative offence under Article 156 of the Code of Administrative Offences, with fines of UAH 6,800 to UAH 13,600. Business-level financial sanctions under Article 73 of Law No. 3817-IX apply on top.

Two further categories stay outside vending:

  • Medicines and medical devices: retail is restricted to licensed pharmacies.
  • Technically complex household goods under warranty: these carry separate receipt and warranty documentation rules.

Consumer Protection: What Applies Right Now

Law No. 1023-XII remains the operative consumer protection law. It requires accurate, accessible information about the goods on sale. For vending that means legible pricing, portion size, product names and a working contact channel for complaints.

Vending machines also fall under the Rules for Small Retail Trade Networks, approved by order No. 369 of 8 July 1996, which classify them as non-capital trading points. The rules ban selling food where storage and temperature conditions cannot be maintained, which is the legal hook behind chilled machine temperature logging.

A new consumer protection law, No. 3153-IX, was adopted in June 2023 and has not yet entered into force. It takes effect one year after publication, but no earlier than the day martial law ends.
